How can I update the ownership with the IRS, such as on the EIN letter?

Hello everyone.

I am a non-U.S. resident and have a single-member LLC in New Mexico. I want to change the ownership of the LLC.

Can anyone advise?

you need to apply for a new EIN because changing the owner means it’s a new entity… first update the LLC owner in new Mexico then fill out form SS-4 to get the new EIN

To change the ownership of your single-member New Mexico LLC as a non-U.S. resident, you’ll need to execute a Membership Interest Assignment transferring ownership from yourself to the new owner. You should then update your internal LLC Operating Agreement to reflect the new ownership. Although New Mexico doesn’t require you to list members with the state, it’s wise to update your EIN ownership with the IRS by filing IRS Form 8822-B within 60 days of the change. Also, check if the new owner needs an ITIN or EIN depending on their tax residency, and consult a U.S. tax advisor to ensure compliance with federal reporting and withholding obligations.
